Gleiss Lutz advises Metso Corporation on divestment of parts of its metals business

Gleiss Lutz has advised Finland’s Metso Corporation on the sale of parts of its metals business to SMS group. The transaction is expected to close in the first quarter of 2026, subject to the customary regulatory approvals. The transaction includes agglomeration and calcination technologies formerly owned by Metso’s Outotec brand. 180 employees in Germany, India, China and other regions will become part of SMS group. The parties have agreed not to disclose the purchase price.

Metso is headquartered in Espoo, Finland and is a frontrunner in aggregates, minerals processing and metals refining technologies and services. The Nasdaq Helsinki-listed company employs over 17,000 people in almost 50 countries and recorded sales of around EUR 5.4 billion in 2023.

SMS group is a global, family-owned company headquartered in Germany. It will integrate Metso’s sustainable minerals and metals processing business to drive the decarbonisation of the steel industry.
