Gleiss Lutz advises on the establishment of a joint IT service provider for employers’ liability insurance associations through merger

Gleiss Lutz has advised the German Social Accident Insurance Institution for the Building Trade and BG-Phoenics GmbH, an IT service provider for statutory accident insurance institutions, on the merger of IT.UV Software GmbH into BG-Phoenics GmbH.

The merger combines the two companies to create a joint IT service provider for the participating employers’ liability insurance associations within Germany’s statutory accident insurance system.

In addition to the merger, the transaction included the conclusion of a business combination agreement between the existing shareholders and the German Social Accident Insurance Institution for the Health and Welfare Services as a new shareholder of BG-Phoenics GmbH, as well as various other corporate measures requiring consideration of specific aspects of social security law.
