Gleiss Lutz has advised the family-owned company Frauenrath and its shareholders on the sale of its construction and recycling business to the French construction group Colas.
Frauenrath's construction and recycling division comprises the business areas of road construction and civil engineering, building construction and turnkey construction, recycling, demolition, and remediation. In the 2025 financial year, these divisions generated revenues of approximately EUR 150 million with around 420 employees at the locations in Heinsberg (North Rhine-Westphalia) and Großröhrsdorf (Saxony). The real estate business as well as the business areas of project development, energy, landscaping, and investments of the corporate group will remain under the ownership of the Frauenrath family, with approximately 200 jobs.
Colas, headquartered in Courbevoie near Paris and a subsidiary of the publicly listed Bouygues Group, operates in the fields of construction, maintenance of transport infrastructure, and urban development. With approximately 62,000 employees, Colas generated revenues of around EUR 16 billion in 2025.
The closing of the transaction is subject to merger control clearance and expected to take place in the first half of 2026.
