Gleiss Lutz advises Schmitz Cargobull on Joint Venture with Utility Trailer Manufacturer

Gleiss Lutz is advising Schmitz Cargobull AG extensively on the establishment of a joint venture with US trailer manufacturer Utility Trailer Manufacturer Company LLC and on conclusion of the related agreements. The newly established Cargobull North America (CBNA) enters the North American market as a leader in transport refrigeration, telematics and all-electric transport solutions that meet the State of California's strict emissions requirements. The joint venture is a cornerstone of Schmitz Cargobull AG's growth strategy, giving it access to the US market.

With an annual production of around 61,000 trailers and with approximately 6,900 employees, Schmitz Cargobull AG is Europe's leading manufacturer of semi-trailers, trailers and truck bodies for temperature-controlled freight, general cargo and bulk goods. It generated sales of approximately EUR 2.3 billion in the 2021/22 financial year.

The Utility Trailer Manufacturing Company, based in Los Angeles, manufactures dry vans, flatbed trucks and refrigerated semitrailers. It produces over 50,000 trailers a year.

The transaction is being handled in-house by Bernd Schraeder (Head of Legal and Compliance) and Roland Klement (Senior Advisor).
