Gleiss Lutz has advised the Japanese company Kokusai Pulp & Paper Co., Ltd. (“Kokusai Pulp & Paper”), a consolidated subsidiary of KPP Group Holdings and a paper wholesaler, on the German aspects of its acquisition of all shares in Chugai Photo & Chemical Co., Ltd. and six other group companies (together, the “Chugai Group”).
Through the transaction, Tokyo-based Kokusai Pulp & Paper is significantly expanding its visual communication business within its Northeast Asia (Japan) segment. Combining the KPP Group’s customer base and global network with the Chugai Group’s product portfolio is expected to create new business opportunities, increase profitability and strengthen global procurement synergies.
Chugai Photo & Chemical and its subsidiaries operate in the visual communication business, distributing products including inkjet media, large-format printers, inks, and other printing media. The Chugai Group also manufactures photographic chemicals and distributes photographic products. In addition, the group holds a 50% equity interest in Ilford Imaging Europe GmbH, which owns the trademark rights to “ILFORD”, one of the world’s most renowned brands in the photography industry, with a history spanning almost 150 years.
