Gleiss Lutz has successfully represented J. Friedrich Storz GmbH & Co. KG ("STORZ") in one of the longest merger control proceedings before the Federal Cartel Office (Bundeskartellamt) in recent years, obtaining approval for the acquisition of Asphaltmischwerk Zimmern GmbH & Co. KG ("AWZ").
The proceedings arose from the acquisition of the construction company Stumpp, which includes AWZ, by the international construction group Strabag, which had been under review by the Federal Cartel Office since August 2025. The Federal Cartel Office approved the acquisition only subject to the condition that Stumpp first divest AWZ to an independent third party. This prevented a complete acquisition of Stumpp, including AWZ, by Strabag.
Gleiss Lutz successfully represented STORZ as an intervening party in the merger control proceedings and, in addition, advised on the agreement with Stumpp for the acquisition of AWZ and obtained the required approval of the Federal Cartel Office.
