Gleiss Lutz advises Paracelsus Kliniken group on its strategic partnership with the Niels-Stensen-Kliniken group

Gleiss Lutz advised Paracelsus Kliniken group on a strategic partnership between Paracelsus Group and Niels-Stensen-Kliniken group. At the same time, the Paracelsus Clinic Osnabrück will be integrated into the Niels-Stensen-Kliniken group. The closing of the transaction is subject to the customary antitrust and regulatory clearances.

Niels-Stensen-Kliniken will continue to operate and further develop the Paracelsus clinic Osnabrück at its present site for a transitional period of an estimated six years. Thereafter, plans call for the complete structural and functional integration of the clinic following the completion of a comprehensive new construction project at the site of the Marien Hospital which is already operated by the Niels-Stensen-Kliniken.

The objectives of the cooperation agreed upon are to provide an improved range of medical services overall, to modernise the existing structures in consultation with the Lower Saxony Ministry for Social Affairs, as well to carry out a conceptual reorientation and to cooperate on projects in the digital health sector in the future.

With 38 facilities at 18 sites in total, the Paracelsus-Kliniken group, belonging to Porterhouse Group AG, is among the largest clinic operators in Germany. Nationwide, around 4,500 employees treat almost 90,000 patients per year. The company generates a turnover of some EUR 400 million per year. The company’s registered seat is in Osnabrück.

Gleiss Lutz advises Porterhouse Group AG on transactions on a regular basis, including last year in connection with the acquisition of Paracelsus-Kliniken group. Founded on 2016, Porterhouse is an international, family-run investment company with registered seat in Lucerne. Around 6,000 employees work for the group worldwide.
