Gleiss Lutz advises American Industrial Partners on the combination of Goss Printing and manroland web systems

Gleiss Lutz has advised the US private equity investor American Industrial Partners LLP (AIP) on the combination of its portfolio company Goss Printing with manroland web systems, owned by German Possehl Group.

Goss Printing and manroland web systems are both manufacturers and service providers of web offset printing systems for newspapers, commercial products and packaging. The combined company will benefit from the combined businesses’ complementary geographic footprints, create extensive synergies, ensure long-term viability, and provide value-oriented solutions, especially in the area of aftermarket services. In the future, the combined entity will be a strong business partner to web printers. The Contiweb business of Goss Printing is not included in this transaction.

The current shareholders of both companies, AIP and Possehl Group, will continue to co-own the combined company. The transaction was closed on 20 August 2018 after all necessary official permits had been issued. AIP is an operationally-oriented private equity firm that is distinctively focused on buying and improving industrial businesses. The AIP team has deep roots in the industrial economy and has been active in private equity investing since 1989. AIP has raised approximately $4.0 billion of private equity capital through its six investment funds. Its diverse partnership group comprises many of the leading global institutional investors including public and corporate pension plans, funds of funds, insurance companies, sovereign wealth funds, foundations, university endowments and other private and public funds.
