Gleiss Lutz advises on general meeting of Volkswagen AG

Gleiss Lutz has advised Volkswagen AG’s supervisory board on this year’s annual general meeting on 10 May, where Volkswagen shareholders voted to ratify the actions of the management board and supervisory board members for the 2016 financial year, among other things.

The supervisory board had submitted a corresponding proposal to the general meeting based on an extensive legal review by Gleiss Lutz.

The general meeting also approved restructuring of the remuneration system for the group’s management board proposed by the supervisory board and adopted a new system of remuneration for the supervisory board.   Gleiss Lutz has been assisting Volkswagen AG’s supervisory board in dealing with the diesel matter and all related legal questions since early 2016. In January 2017, for example, the firm advised the supervisory boards of Volkswagen AG and Audi AG in connection with the settlement agreements in the US.

Prof. Dr. Michael Arnold (lead, partner), Dr. Vera Rothenburg (partner) and Dr. Adrian Bingel (partner) (all corporate, all Stuttgart) along with other partners, counsel and associates advised the supervisory board of Volkswagen AG in connection with the general meeting.
