Gleiss Lutz advises Commerzbank on capital increase of MPC Capital AG

Gleiss Lutz is advising Commerzbank AG on the capital increase of MPC Münchmeyer Petersen Capital AG. The capital increase from authorised capital is part of a comprehensive restructuring effort by the Hamburg-based issuing house. Gleiss Lutz has been acting as sole legal advisor in the matter, putting it in charge, among other things, of preparing the securities prospectus approved by the Federal Financial Supervisory Authority (BaFin).  

In connection with the capital increase, MPC Münchmeyer Petersen Capital AG is increasing its share capital to EUR 17,610,739.00 by issuing up to 14,626,200 new shares. The new shares are being offered to shareholders from 29 April to 13 May 2013, at 12:00 noon, at a ratio of 1:5 – i.e. one old share entitles the holder to receive five new shares – at a price of EUR 1.17 per new share. The issue volume thus amounts to EUR 17 million.
