Deals of the Year 2016: China Business Law Journal honours ChemChina/Syngenta transaction

The China Business Law Journal has named the takeover of Swiss agricultural chemicals producer Syngenta by Chinese chemicals group ChemChina “Deal of the Year”. Gleiss Lutz advised Syngenta globally on merger control and investment control aspects of this cross-border transaction.

The China Business Law Journal is published by independent publishing house Vantage Asia in Hong Kong. Every year it nominates the most significant transactions both in China and overseas. Apart from volume, decisive criteria for the award include complexity and innovation of the deal.

The China Business Law Journal stressed that Syngenta’s acquisition by ChemChina marked the largest outbound purchase by a Chinese company to date. The transaction’s complexity was owed to the fact that both a public offer under Swiss law and a comparable offer under US law were simultaneously required.

Gleiss Lutz regularly takes the lead in advising renowned enterprises on international projects - an area in which complex, multinational outbound transactions are playing an increasingly important role.
