Gleiss Lutz advises Paracelsus-Kliniken on the strategic merger of Paracelsus-Klinik Zwickau with Heinrich-Braun-Klinikum

​A Gleiss Lutz team has advised Paracelsus-Kliniken Deutschland on integrating Paracelsus-Klinik Zwickau into a joint healthcare concept with Heinrich-Braun-Klinikum covering both locations. In future, Heinrich-Braun-Klinikum will take the lead in running Paracelsus-Klinik Zwickau. Merging the two clinics will permit synergies to be used in improving medical services overall. The closing of the transaction is subject to the customary antitrust and regulatory clearances.

Paracelsus-Kliniken belongs to Porterhouse Group AG. With around 37 facilities at 19 locations in all, it is one of Germany's largest hospital owners. Nationwide, around 4,600 employees treat almost 73,000 inpatients per year. The company generates a turnover of some EUR 400 million per year. Its registered office is in Osnabrück.

Porterhouse is an international, family-run holding company with registered office in Lucerne. The company was founded in 2016 and employs over 6,000 staff worldwide. In 2018, Gleiss Lutz advised Porterhouse on its acquisition of the Paracelsus-Kliniken Group, providing regular advice since then on a number of matters. These have included legal and tax issues relating to a comprehensive restructuring of the group, as well as to the refinancing of clinics and a strategic partnership with Niels-Stensen-Kliniken.
