Gleiss Lutz advises Atlantia on sale of EUR 600m stake in Hochtief to ACS

A Gleiss Lutz team advised Atlantia on the sale of its entire stake in Hochtief AG (14.46 per cent) to Actividades de Construcción y Servicios SA (“ACS") following a binding offer submitted by ACS. The sale consideration totals €577.8m, equal to €51.43 per share.

Atlantia acquired a stake in Hochtief in 2018 as part of the takeover of the Spanish toll road operator Abertis.

Atlantia S.p.A. is a service and infrastructure company from Italy that specialises in tolling and access control. It manages motorways in 24 countries worldwide and offers toll colletion services and integrated mobility services.

Gleiss Lutz had already advised Atlantia on the billion-euro takeover of Abertis and the acquisition of Atlantia's stake in Hochtief in 2018. In addition, Gleiss Lutz is advising Atlantia in connection with the intended acquisition of the Italian infrastructure group by the Benetton family and financial investor Blackstone.​
