Public takeover of IDS Scheer successfully completed

Gleiss Lutz assisted the software manufacturer IDS Scheer on the successful completion of the takeover by Software AG. Following the expiry of the additional acceptance period, Software AG now holds 89.99% of the shares in IDS Scheer AG. This completes one of the largest public takeovers of the year in Germany.

As part of its voluntary public takeover offer of August 17, 2009, Software AG had offered the shareholders of IDS Scheer AG EUR 15 per share through its subsidiary SAG Beteiligungs GmbH. This completed takeover means that there is now a global manufacturer for infrastructure software and business process management with over 6,000 employees and sales of over one billion euros.
