Gleiss Lutz advises Infineon on merger control proceedings regarding its acquisition of Marvell’s Automotive Ethernet business for around EUR 2.2 billion

Gleiss Lutz has advised the listed German semiconductor company Infineon Technologies on the German merger control aspects of its acquisition of Marvell’s Automotive Ethernet business. 

The purchase price is around EUR 2.2 billion. The transaction brings Marvell’s Automotive Ethernet business into Infineon’s market-leading portfolio for automotive microcontrollers, accelerating Infineon’s system capabilities for software-defined vehicles. Ethernet is a key enabling technology for low-latency, high-bandwidth communication and connectivity solutions, which are vital for software-defined vehicles. The acquisition is subject to the customary closing conditions and regulatory approvals.

Infineon develops, manufactures and supplies semiconductors and semiconductor-based products worldwide for a broad range of applications, including in the automotive sector.

Marvell is a US-based listed company and global provider of data infrastructure semiconductor solutions.

The transaction was handled in-house at Infineon by Daniela Mariotti (Director & Corporate Legal Counsel), who also coordinated the other official proceedings required to obtain clearance worldwide.
