Gleiss Lutz advises Siemens on its acquisition of ebm-papst’s drive technology business

Gleiss Lutz has comprehensively advised Siemens AG on the acquisition of ebm-papst’s industrial drive technology (IDT) business. The planned acquisition will complement the Siemens Xcelerator portfolio and strengthen the technology company’s position as a leading provider of flexible production automation solutions. The transaction is to be completed by mid-2025, subject to the necessary foreign trade and merger control approvals. The parties have agreed not to disclose the purchase price.

The IDT business includes intelligent, integrated mechatronic systems in the protective extra-low voltage range as well as innovative motion control systems that are used in free-range driverless transport systems. The integration of the product portfolio into Siemens’ existing automation portfolio and the utilisation of its global sales network will open up new market access and generate significant business potential in the area of flexible and autonomous factory automation.

ebm-papst, a leading supplier of fans and compact and intelligent mechatronic systems, intends to concentrate on its Air Technology and Heating Technology divisions in future and had therefore put its IDT business up for sale. This business, which has 650 employees, is located in St. Georgen and Lauf an der Pegnitz, Germany, and in Oradea, Romania.
