Gleiss Lutz advises Ferrostaal on agreement with Public Prosecutor’s Office regarding compliance infringements

As part of its extensive advice with regard to the legal consequences of the worldwide compliance investigations at Ferrostaal AG, Gleiss Lutz has now accompanied the company in a further important step to settle the proceedings:

At an extraordinary Shareholders’ Meeting held on 13 October 2011, the shareholders of Ferrostaal approved the decision by the management board and the supervisory board to accept fines totalling EUR 149 million on account of, among other things, the bribery of foreign officials between 2000 and 2007. With these decisions the prerequisites for an agreement with the investigating Munich I Public Prosecutor’s Office and the Munich I District Court have been met.

The various legal aspects were covered in a comprehensive legal opinion drawn up by Gleiss Lutz, which formed the basis for the decisions by the company’s corporate bodies. Gleiss Lutz carried out the legal groundwork for these decisions and coordinated both the meeting of the supervisory board and the shareholders’ meeting. Gleiss Lutz is also representing Ferrostaal AG vis-à-vis its shareholders, both in the ongoing actions for avoidance and in connection with the financing of Ferrostaal AG by its shareholders.
