Gleiss Lutz advises Enterex International Limited on takeover of AVA Group

Gleiss Lutz has advised Enterex International Limited, a Taiwan listed company, on the takeover of the AVA Group from Haugg-Kühlerfabrik GmbH. AVA is the Haugg Group’s distribution network as well as the brand under which the extensive range of engine and vehicle cooling systems are sold. The product portfolio includes cooling radiators, condensers, intercoolers,  heaters, compressors, fans, dryers, evaporators and valves. AVA has companies in the Netherlands, France, Italy, the UK, Denmark and Austria.

Enterex manufactures and sells radiators, condensers, intercoolers, evaporators for passenger cars, pick-ups, trucks, tractors and generators, and exports to North America, Latin America, Europe, Japan, Australia, New Zealand, Asia, the Middle East and South Africa. Headquartered in Tainan City, Taiwan, Enterex International Limited was founded in 1984.

With the instruction coming via the Taiwanese law firm of Lee & Li, Gleiss Lutz acted as lead counsel and, as such, was responsible for coordinating the work of the various law firms involved, namely Gide (France), Chiomenti (Italy), Macfarlanes (UK), Houthoff Buruma (Netherlands), and Wolf Theiss (Austria). The Gleiss Lutz team headed by Prof. Dr. Gerhard Wegen (lead, partner, corporate/M&A, Stuttgart) comprised the following lawyers: Anselm Christiansen, Simon Dewes, Makoto Ohnuma (all corporate/M&A), Dr. Herwig Lux (counsel), Christopher J. The Enterex instruction takes forward Gleiss Lutz’s engagement in the Asian market. Gleiss Lutz has a well-established Asian practice and frequently advises Asian companies on acquisitions in Germany.
