Gleiss Lutz advises Syngenta on its sale of a portfolio of plant protection products

Gleiss Lutz has advised Swiss agrichemicals group Syngenta on its sale of a broad portfolio of plant protection products. Syngenta is selling the portfolio together with Adama Agricultural Solutions to the agrichemicals company Nufarm Ltd. The transaction has been entered into to satisfy the conditions imposed by the EU Commission in relation to the takeover of Syngenta by ChemChina. Completion is subject to approval by the EU Commission and is expected for the first quarter of 2018. The transaction value amounts to USD 490. Mio. 

With a workforce of more than 28,000 employees across 90 countries, Syngenta is one of the world’s largest agrichemical groups. 

Gleiss Lutz is one of Syngenta’s key legal advisors and most recently assisted it - in connection with the takeover of the group by ChemChina - with merger and investment control procedures in 20 countries, the sale of its global sugar beet seeds business to the Danish DLF Seeds A/S in 25 countries, as well as its acquisition of the German and Polish winter wheat and winter oilseed rape business from the Swedish Lantmännen Group. 

Nufarm Ltd. is one of the world’s leading crop protection and specialist seeds companies. With more than 3,400 employees, the company makes products that help farmers protect their crops against damage caused by weeds, pests and disease.
