Takeover of Osram by Bain Capital and the Carlyle Group: Gleiss Lutz advises financial advisor Perella Weinberg

Gleiss Lutz advised Perella Weinberg Partners L.P. in connection with the planned takeover of Osram Licht AG by a consortium made up of the financial investors Bain Capital and the Carlyle Group.

At the beginning of July, Osram received from the financial investors a binding offer to submit a public takeover bid and to conclude an investor agreement. The planned public takeover offer amounts to 35 euros per share. The offer values Osram at an equity value of 3.4 billion euros and an enterprise value of about 4 billion euros. The management board and supervisory board of Osram support the offer.

Perella Weinberg is acting as a financial advisor of Osram Licht AG. Gleiss Lutz advised Perella Weinberg on takeover law issues and other aspects in connection with the transaction.
