Gleiss Lutz advises financial institutions as well as large and medium-sized enterprises on the full range of banking and finance matters in Germany and abroad. We specialise in assisting clients with regard to debt financing – in particular acquisition, real estate and project financing. We also advise on refinancings and restructurings as well as issues of banking and insurance regulation. A key strength of our practice is debt financing, with a special focus on corporate, acquisition, real estate and project financing. We not only help enterprises secure syndicated loans for corporate financing, but also provide all-encompassing legal advice to buyers, sellers and lenders on the financial aspects of acquiring companies and parts thereof. We also have extensive experience in handling acquisitions backed by private equity firms. When it comes to real estate financing, we advise both financing banks and investors on the purchase of property (portfolios) and project developments. To this end we work hand-in-hand with our real estate and tax teams to deliver integrated, seamless service.
Gleiss Lutz advises leading financial institutions and financial service providers, leasing companies and enterprises on financing all types of assets, including aircraft, trains and rail fleets. We counsel clients both on “sale and lease-back” and “lease and lease-back” transactions, and structure the purchase and sale of large leasing portfolios. We also assist with securitisation and asset-backed securities transactions as well as factoring deals.
We represent clients in refinancing transactions and complex restructurings. Our banking and finance team has extensive experience in dealing with standstill agreements, bridge facilities and restructuring loans, tapping into our pool of insolvency experts as necessary.
Gleiss Lutz advises financial institutions, enterprises and government authorities on all banking regulatory issues. We counsel financial institutions on regulatory duties, assist with licensing procedures and provide guidance on the purchase and sale of credit and financial services providers. Drafting and negotiating outsourcing agreements and other contracts with a regulatory context is another key focus of our practice. We also advise foreign banks and enterprises on licensing requirements for crossborder activities. For non-financial enterprises, we assess whether proposed business models are subject to licensing requirements and, where appropriate, develop alternative structures. Where clients face charges of violating insider trading rules, market abuse provisions or money laundering laws, we conduct internal investigations and represent them before the regulatory authorities. We also provide guidance on the relevant employment and civil law consequences of violations, and enforce liability claims against those responsible.
