The increasing complexity of tax law and the constant tax changes increase the risk of almost every instance of business planning. The development of optimal tax strategies and solutions is thus the core of Gleiss Lutz’s work in the area of tax-structure advising. Gleiss Lutz’s services encompass, in addition to planning and carrying out corporate and group restructurings, tax-optimised structuring of financing and financial products (structured finance, leasing, funds) and other measures such as the structuring of cash pools and the hiving off of pension obligations. In addition, Gleiss Lutz assists private clients in regard to wealth preservation across generations, but also with the tax structuring of their private affairs, e.g. by means of charitable trusts or moves abroad.

Within the bounds of tax advising on transactions, Gleiss Lutz advises on all associated tax matters arising in the process of the purchase or sale of companies, including acquisition financing. The same holds true for major real estate transactions of German and foreign investors. Gleiss Lutz also carries out tax-related due-diligence examinations. The emphases of our advice here include the configuration of the acquisition or sale structure and of acquisition financing, as well as restructuring after acquisition (e.g., step-up models, use of loss carry-forwards) and development of employee share-ownership models.

Since more and more problems require cross-border tax solutions, Gleiss Lutz also advises on international tax law – where appropriate, integrating our partner law firms in Europe and in the U.S. In this connection, Gleiss Lutz assists with cross-border purchases of companies, financing and other transactions, helps with regard to international tax optimisation (e.g. the development of cash pools or international transfer-price plans) and also supports companies regarding all other tax questions in connection with international business (e.g., holding structures, dispatching of staff internationally, joint ventures). Gleiss Lutz possesses particular expertise in questions regarding the Foreign Tax Relations Act and the law of double-taxation treaties.

In difficult cases (e.g., complex tax investigations), Gleiss Lutz represents clients furthermore in assessment, collection and remedy proceedings before the tax authorities and courts, including the Supreme Tax Court. Should clients come into contact with prosecuting authorities, experts from our tax team take on the case and assess it from the perspective of criminal law and tax law. This requires discreet and reliable Gleiss Lutz advice.
